Cancellation Policy
This Agreement is made and entered into as of the Effective Date (defined below) by and between the Network Theory Applied Research Institute ("NTARI"), a nonprofit research and development organization, and the undersigned nonprofit entity ("Tester"). 1. Purpose 1.1. NTARI is engaged in the research and development of Consul Democracy software ("Software"), an open-source platform designed to assist nonprofit organizations in organizing and transmitting information internally. 1.2. Tester agrees to participate in testing and evaluating the Software under the terms of this Agreement. 2. Term and Termination 2.1. This Agreement begins on the Effective Date and remains in effect until terminated by either party with 30 days' written notice. 2.2. NTARI may terminate this Agreement immediately if Tester breaches any of its terms. 3. License and Use 3.1. The Software is provided under an open-source license. NTARI grants Tester a non-exclusive, non-transferable, revocable, and royalty-free license to use, modify, and contribute to the Software in accordance with the applicable open-source license terms. 3.2. Tester shall not commercialize the Software unless permitted by the open-source license governing the Software. 4. Data and Feedback 4.1. Tester agrees to provide NTARI with timely feedback regarding performance, usability, and any issues encountered with the Software. 4.2. NTARI may use Tester's feedback to improve the Software in alignment with its nonprofit mission and open-source development principles, ensuring that improvements benefit the broader community. 5. Volunteer Support and Liability 5.1. NTARI may arrange for volunteers to install, modify, and maintain the Software for Tester. 5.2. Tester acknowledges that NTARI and its volunteers provide such services on a goodwill basis, with no warranties or guarantees of performance. NTARI shall not be responsible for any errors, misconfigurations, or damages arising from volunteer assistance. Tester assumes all responsibility for reviewing, securing, and maintaining any installations or modifications provided by volunteers. 5.3. As a nonprofit research organization, NTARI and its volunteers shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from Tester's use of the Software, including but not limited to data loss, security breaches, software malfunctions, regulatory noncompliance, or organizational disruptions.
